The answer is B. Companies selling securities privately must register with the SEC or notify the agency that their securities offering is exempt from regulation. Last year the estimate for this type of capital was over $600 billion, but til now, it has not been easy to follow because the SEC used to only require a paper document. Now FORM D must be filed electronically in the EDGAR system, available to the public – and instantly searchable for all EDGAR Pro and I-Metrix subscribers.
Here’s how to find out what companies are raising money from sources, such as venture capital, private-equity firms, or wealthy individuals.
1. Login to I-Metrix. Not a subscriber? Click here to sign up for a free trial.
2. Click on the SEARCH tab.

3. Scroll in the FORM TYPE Search Box until you see form type ‘D’ and click it.

From this page you can refine you search by company, date range, industry etc.
4. Click the SEARCH box and your Form D results will be displayed.
